By accessing or using ChemRisk Pro ("Service"), operated by S.Nihar Exports ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

3. Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years of age
  • Have authority to bind your organization (if applicable)
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription and Payments

4.1 Subscription Plans

Access to ChemRisk Pro requires a paid subscription. Subscription plans, pricing, and features are described on our website and may change from time to time.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise stated

  • Failure to pay may result in suspension or termination of access

We may offer free trials at our discretion. Trial accounts may have limited features and will convert to paid subscriptions unless cancelled before the trial ends.

5. Acceptable Use

You agree NOT to:

6. Intellectual Property

You retain all ownership rights to data you provide to ChemRisk Pro, including:

  • Company and contact information
  • Chemical inventory data and consumption volumes
  • Supplier information and preferences
  • Any other proprietary business data

You grant us a limited license to use this data solely to provide the Service to you. We will not sell, share, or use your proprietary business data for any other purpose without your explicit consent.

6.3 Third-Party Content

Alerts contain analysis of third-party news articles. Original article content remains the property of respective publishers. We provide links to source articles and attribute all sources appropriately.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Specifically, we do not warrant that:

  • The Service will be uninterrupted or error-free
  • All information and alerts will be accurate, complete, or timely
  • The Service will meet your specific requirements
  • Any defects will be corrected

ChemRisk Pro provides intelligence and recommendations for informational purposes only. We are not responsible for business decisions made based on our alerts or analysis. Always verify critical information through independent sources.

7.1 Not Financial or Legal Advice

ChemRisk Pro does NOT provide:

  • Investment advice or securities analysis
  • Financial planning or commodity trading recommendations
  • Legal advice or regulatory compliance guidance

The financial impact estimates, working capital calculations, and procurement recommendations provided are:

  • Based on AI analysis that may contain errors or inaccuracies
  • Not guaranteed to be accurate, complete, or current
  • Not a substitute for professional financial, legal, or procurement advice
  • Provided for informational purposes only

Users should consult qualified financial and legal professionals before making significant business decisions. ChemRisk Pro and its affiliates are not registered investment advisers, financial planners, commodity trading advisors, or legal practitioners.

7.2 AI-Generated Content Limitations

ChemRisk Pro uses artificial intelligence (Google Gemini) to analyze news and generate alerts. You acknowledge that:

  • AI-generated analysis may contain errors, hallucinations, or misinterpretations
  • Alerts are based on publicly available news which may itself be inaccurate
  • Risk severity assessments are estimates, not guarantees
  • AI cannot predict future events or market conditions
  • Human verification of critical alerts is recommended

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, S.NIHAR EXPORTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless S.Nihar Exports, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

10.2 By Us

We may suspend or terminate your access if you:

  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service or other users

10.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. You may request export of your data within 30 days of termination. After 30 days, your data may be permanently deleted.

12. Service Level

We strive to maintain high availability but do not guarantee specific uptime. We will:

13. Changes to Terms

14. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.1 Dispute Resolution Process

Any disputes shall be resolved through:

  1. Good faith negotiation between the parties (30 days)
  2. Mediation in Mumbai, India
  3. Binding arbitration under the Arbitration and Conciliation Act, 1996

14.2 Arbitration Agreement

Any dispute not resolved through negotiation or mediation shall be finally settled by binding arbitration in Mumbai, India. The arbitration shall be conducted in English by a single arbitrator mutually agreed upon by the parties.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class actions against ChemRisk Pro.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights to an affiliate or successor.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of third-party services (including cloud providers, APIs, and data sources), or any other event beyond our reasonable control.
